1. Agreement to Terms

By accessing this website or engaging with services provided by UDC, LLC, you agree to be bound by these Website & General Services Terms ("Terms"). If you do not agree, please do not use our website or services.

2. Services Overview

UDC provides professional services including, but not limited to:

  • Artificial intelligence and machine learning systems
  • Data engineering, analysis, and visualization
  • Automation and workflow optimization
  • Geospatial and environmental analytics
  • Technology consulting and strategy
  • Custom software development

Specific services, deliverables, pricing, and timelines are defined in applicable invoices, proposals, or Statements of Work ("SOW").

3. Relationship of Agreements

If Client enters into a separate written agreement, Statement of Work, or pays an invoice issued by UDC, LLC, the applicable Payment & Professional Services Terms and/or SOW shall govern and control in the event of any conflict with these Terms.

4. Client Responsibilities

Clients agree to:

  • Provide accurate and timely information necessary for service delivery
  • Cooperate reasonably with UDC personnel
  • Use services in compliance with applicable laws
  • Respect intellectual property and confidentiality obligations

5. Intellectual Property

Unless otherwise agreed in writing:

  • Clients retain ownership of their proprietary data and business information
  • UDC retains ownership of its methodologies, frameworks, tools, systems, and general know-how
  • Ownership and licensing of specific deliverables are governed by the applicable invoice, SOW, or Payment & Professional Services Terms

6. Confidentiality

Each party agrees to maintain the confidentiality of any non-public, proprietary, or confidential information disclosed during the course of an engagement, unless disclosure is required by law.

7. No Guarantees

UDC provides professional and technical services using reasonable skill and care. However, outcomes depend on numerous factors outside UDC's control. No guarantees of results or performance are made.

8. Limitation of Liability

To the maximum extent permitted by law, UDC's liability arising from or related to services provided shall be limited as set forth in the applicable Payment & Professional Services Terms.

9. Termination

Either party may discontinue an engagement or website use at any time. Termination of services does not relieve Client of payment obligations for services already rendered.

10. Governing Law

These Terms are governed by the laws of the State of Oregon, without regard to conflict-of-law principles.

11. Changes to Terms

UDC may update these Terms from time to time. Continued use of the website or services constitutes acceptance of any updated Terms.
